My Approach
I am an entreprenuer-investor looking to buy & operate an established, growing and profitable business based in UK.
Unlike professional funds or holding companies, my intention is not to sell these great businesses for a profit in a few years nor to build a diversified portfolio of companies without operational synergies. I want to acquire an exceptional business and leverage my deep commercial & operational expertise allowing the acquired business to scale new heights.
Investment Criterion
I believe that each business is unique, so I evaluate every company individually through independent research and collaborative discussions with the sellers. Below are some guiding principles that I follow:
- Sector: Industries with established markets and strong organic growth preferably in manufacturing, industrial services, engineering services, energy services etc.
- Size: Revenues of £3-15M, EBITDA of £0.5-2M, 10-100 employees
- Financials: EBITDA margins of 15% or more and cash flow positive for at least 5 consecutive years
- Non-financials: Strong reputation with loyal, recurring customer base and capable management team
Investment Process
- Introduction: Initial in-person or virtual conversation to understand your objectives and confirm that our goals are aligned.
- Indication of Interest(IoI): Mutual exchange of high-level business, financial information and deal goals, subject to NDA
- Letter of Intent (LoI): Initial offer detaling purchase price and proposed deal structure for mutual discussion and agreement, subject to due diligence under exclusivity
- Due Diligence (DD): Collaborative validation of financial, legal and other key aspects of the business including but not limited to machinery, inventory other physical assets
- Closing: Conclusion of pruchase agreement and other legal & financial requirements
Post Closing
After the agreed management transition period, I will take-over hands-on, active management responsibility of your company. The business will have access to top resources along with tools and capabilities that I have personally implemented in large multi-national companies to drive top-line growth and value creation. While there is no magic bullet, I intend to leverage the flywheel of People-Process-Technology and the spirit of Continuous Improvement to ensure sustainable long-term growth and health of the business.
